Welcome to NovaTabz. These Terms of Service ("Terms") govern your access to and use of www.novatabz.com (the "Site"), operated by Nova Labs Innovation Inc. ("Nova Labs," "we," "us," or "our"). Please read them carefully. By using the Site or signing up for our email list, you agree to these Terms.

1. About NovaTabz

NovaTabz is a brand of Nova Labs Innovation Inc., a Delaware corporation with offices at 1007 N Orange St., 4th Floor, Suite #5261, Wilmington, Delaware 19801, United States. Our Site currently functions as a pre-launch landing page where visitors can subscribe to receive product updates and launch announcements. We are not currently selling products through the Site.

2. Eligibility

You must be at least 13 years old to use the Site, and at least 18 years old (or the age of majority in your jurisdiction) to subscribe to our email list. By using the Site, you represent that you meet these requirements.

3. Email Signup and Promotional Offer

By submitting your email address through our signup form, you consent to receive marketing emails from NovaTabz, including product launch announcements, news, and offers. You may unsubscribe at any time using the link in any email we send.

The "25% off your first purchase" offer is provided as a thank-you to early subscribers. The offer is subject to the following conditions: it applies to a single first-time purchase from NovaTabz once products become available; it cannot be combined with other discounts unless we expressly say otherwise; it has no cash value; it is non-transferable; and we reserve the right to modify, limit, or discontinue the offer at our discretion, including by setting an expiration date or capping the number of eligible subscribers. We will notify subscribers of the redemption process when products launch.

4. Acceptable Use

You agree not to:

• Use the Site for any unlawful purpose or in violation of these Terms;

• Submit false, misleading, or someone else's email address without authorization;

• Attempt to interfere with, disrupt, or gain unauthorized access to the Site, its servers, or any related systems;

• Use any automated means (bots, scrapers, crawlers) to access or collect information from the Site, except for standard search-engine indexing;

• Reverse engineer, decompile, or otherwise attempt to extract source code from the Site;

• Use the Site in any way that could damage, disable, overburden, or impair it.

5. Intellectual Property

The Site and its content — including the NovaTabz name, logo, product names, branding, text, graphics, images, and design — are owned by or licensed to Nova Labs and are protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works from any part of the Site without our prior written permission, except that you may view and share publicly available content (such as blog posts) for personal, non-commercial purposes with appropriate attribution.

6. User Submissions

If you send us feedback, suggestions, ideas, or other materials (collectively, "Submissions"), you grant Nova Labs a worldwide, royalty-free, perpetual, irrevocable, non-exclusive license to use, reproduce, modify, publish, and distribute those Submissions for any purpose, without compensation or credit to you. You represent that you have all rights necessary to grant this license.

7. Third-Party Services and Links

The Site is hosted on the Wix platform and may contain links to third-party websites and services, including our social media profiles on X, Instagram, and TikTok. We do not control these third-party services and are not responsible for their content, privacy practices, or terms. Your use of any third-party service is at your own risk and subject to that service's own terms and privacy policy.

8. No Product Sales Yet; Future Sales

The Site does not currently process orders or accept payments. Any product images, descriptions, or pricing references are for informational and pre-launch marketing purposes only and do not constitute an offer to sell. When sales begin, additional terms (covering orders, shipping, returns, refunds, product warranties, and applicable consumer protection rights) will apply and will be made available at that time.

9. No Medical or Dental Advice

Information shared on the Site or in our communications — including blog posts and product descriptions — is for general informational purposes only and is not intended as medical, dental, or professional advice. NovaTabz products, when available, are intended as oral-care consumer products and are not a substitute for professional dental care. Consult a qualified dental or medical professional for advice about your specific health needs.

10. Disclaimers

The Site is provided "as is" and "as available," without warranties of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by law, Nova Labs disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components, or that any information on the Site is accurate, complete, or current.

11. Limitation of Liability

To the fullest extent permitted by law, Nova Labs and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or related to your use of the Site, even if we have been advised of the possibility of such damages. Our total liability for any claim arising out of or related to the Site or these Terms shall not exceed one hundred U.S. dollars (US$100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above limitations may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Nova Labs and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of any rights of another party.

13. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including if we believe you have violated these Terms. You may stop using the Site at any time and may unsubscribe from our emails as described in Section 3. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Site shall be brought exclusively in the state or federal courts located in Wilmington, Delaware, and you consent to the personal jurisdiction of those courts. If you are a consumer located in a jurisdiction whose laws guarantee you the right to bring proceedings in your local courts, this provision does not affect that right.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Material changes will be communicated through the Site or by email to subscribers. Your continued use of the Site after changes take effect constitutes your acceptance of the revised Terms.

16. Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Nova Labs regarding the Site. If any provision is found unenforceable, the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver of our right to do so later. You may not assign these Terms without our prior written consent; we may assign them freely.
